This Memorandum of Understanding (MOU) sets forth the mutual understanding and present intentions of the Texas National Association for the Advancement of Colored People (Texas NAACP) and Texas Guaranteed Student Loan Corporation (TG) to participate in certain of each other's existing programs and to develop new resources to promote post-secondary education opportunities for African-Americans, remove obstacles to education beyond high school for these individuals, and increase the number of African-American students who complete a post-secondary education. TG supports Texas' Historically Black Colleges and Universities in their efforts to implement institutional default aversion management plans and supports the activities of the Texas HBCU Consortium.
The Texas NAACP and TG believe that a higher education has significant socio-economic benefits that can greatly enhance the lives of minority students, their families, and society as a whole, and to that end, the Texas NAACP and TG agree to work together to pursue the following initiatives:
This MOU does not affirmatively bind the parties to undertake the actions set forth herein, but merely serves as evidence of the parties' good faith intentions with regard to these activities. In the event that the parties agree to develop for both their use any materials such as posters, brochures, PSAs and the like, the terms of such development, including but not limited to payment obligations and ownership of the created materials, shall be mutually agreed upon by the parties, reduced to writing, executed by both parties, and attached to this MOU.
This MOU shall be effective on the date it is last signed by the parties. Either party may terminate this MOU upon five days prior written notice to other party. This MOU shall terminate one year after its effective date if the parties have not taken steps to pursue any of the initiatives set forth herein.
This MOU shall be governed by the laws of the State of Texas and is subject to all applicable state and federal laws.

This MOU contains the entire understanding and present intentions of the parties and supersedes any and all previous agreements or understandings they may have regarding this subject matter, whether orally or in writing.
